Please read these Terms carefully. By creating an account or using any Prism Prep service, you agree to be bound by these Terms of Service. If you do not agree, do not use our platform.
01 Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Prism Prep LLC ("Prism Prep," "we," "us," or "our"), a limited liability company operating the Prism Prep platform available at www.myprismprep.com and any associated mobile applications or software (collectively, the "Services").
By accessing or using the Services in any manner — including browsing, creating an account, submitting data, or making a purchase — you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are using the Services on behalf of an organization — for example, purchasing on behalf of a university program or cohort — you represent and warrant that you have the authority to bind that organization to these Terms.
02 Description of Services
Prism Prep provides a software platform that generates personalized study plans based on data you provide, including but not limited to:
- Practice exam scores and results
- Self-reported confidence levels on subject matter topics
- Study preferences, goals, and timelines
The platform currently focuses on licensure exam preparation and may expand to cover additional content and features over time. These Terms are intended to apply to all current and future Services offered by Prism Prep.
Prism Prep's study plans, recommendations, and analytics are educational tools only and do not constitute professional academic advising, guarantees of exam passage, or endorsement by any examining body or licensing authority.
03 Eligibility
The Services are designed for adult students enrolled in graduate-level physical therapy education and are not directed to children. You must be at least 18 years of age to use the Services.
By using the Services, you represent and warrant that you meet this age requirement and that any information you provide is accurate, current, and complete.
04 Accounts & Registration
Account Creation
To access most features, you must register for an account, either directly or through an invitation from a partner institution. You agree to provide accurate, current, and complete registration information and to keep it updated. You may not register using another person's identity or information.
Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@myprismprep.com of any unauthorized access or suspected security breach. Prism Prep is not liable for any loss or damage arising from your failure to protect your account.
One Account Per User
Each individual may maintain only one active account unless otherwise authorized by Prism Prep in writing. Creating multiple accounts to circumvent access restrictions, payment obligations, or disciplinary actions is prohibited.
05 Plans & Purchases
Prism Prep plans are sold as one-time purchases, not recurring subscriptions. Once purchased, a plan is available for your use as described at the time of purchase. Feature availability varies by the specific plan purchased.
We may in the future offer additional add-ons (such as extra question sets or practice exams) for separate one-time purchase. These Terms apply to any such add-ons unless stated otherwise at the time of purchase.
Plans may also be purchased by a university program or other organization on behalf of a group or cohort of students. Group purchase terms (such as cohort size and applicable rate) will be confirmed at the time of that purchase, but use of the Services by any individual student remains governed by these Terms.
06 Payment & Billing
Fees
All fees are one-time charges stated in U.S. dollars at the time of purchase and are exclusive of applicable taxes, which you are responsible for paying. Purchasing a plan or add-on does not create a recurring or subscription billing relationship.
Payment Processing
Payments are processed by third-party payment processors. By providing payment information, you authorize us to charge your payment method for the applicable fee. You represent that you are authorized to use the payment method provided.
Refunds
Except where required by applicable law, purchases are non-refundable. If you believe a charge was made in error, please contact us within 30 days at billing@myprismprep.com.
Pricing Changes
Prism Prep may change pricing for future purchases at any time. Changes to pricing do not affect a plan or add-on you have already purchased.
07 User Content & Data
Your Data
You retain ownership of the data and content you submit to the Services ("User Data"), including exam scores, topic confidence ratings, and study activity. By submitting User Data, you grant Prism Prep a worldwide, royalty-free, non-exclusive license to collect, store, process, analyze, and use your User Data to provide and improve the Services and generate your study plans and reports, subject to the limits described in Section 8 and our Privacy Policy.
Accuracy of Data
You are solely responsible for the accuracy and completeness of data you enter. Prism Prep is not liable for study plan quality or outcomes resulting from inaccurate, incomplete, or misleading User Data.
Data Retention
We retain your User Data for as long as your account is active and for a reasonable period thereafter, or as required by law. You may request deletion of your account and data as described in our Privacy Policy.
08 Data Sharing & Third Parties
Our full data practices are described in our Privacy Policy, which is incorporated into these Terms by reference and governs in the event of any conflict with this section. In short: we do not sell your personal information, and we do not share identifiable student data with third parties for marketing or research purposes.
We share data only with the service providers needed to operate the platform (such as hosting and payment processing), with your own partner institution if you're part of a university-sponsored cohort, in aggregate/de-identified form for purposes such as marketing, when required by law, or in connection with a business transfer as described in the Privacy Policy.
09 Acceptable Use
You agree not to use the Services to:
- Violate any applicable law or regulation
- Impersonate any person or entity or misrepresent your affiliation
- Submit false, misleading, or fraudulent data
- Attempt to gain unauthorized access to any portion of the Services or related systems
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code
- Scrape, crawl, or use automated means to access the Services without our written permission
- Interfere with or disrupt the integrity or performance of the Services
- Upload or transmit viruses, malware, or any malicious code
- Use the Services to develop a competing product or service
- Harass, abuse, or harm any other user
Prism Prep reserves the right to investigate and take appropriate action, including suspension or termination of accounts, for any suspected violations of this section.
10 Intellectual Property
Prism Prep's Property
All software, algorithms, content, designs, trademarks, logos, and materials comprising the Services (excluding User Data) are owned by or licensed to Prism Prep and are protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms transfers any ownership interest in Prism Prep's intellectual property to you.
Limited License to Users
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal, non-commercial educational purposes, subject to these Terms.
Feedback
If you submit suggestions, ideas, or feedback about the Services, you grant Prism Prep the right to use such feedback without restriction or compensation to you.
11 Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.
Prism Prep does not warrant that:
- The Services will be uninterrupted, error-free, or secure
- Study plans or recommendations will result in improved exam scores or exam passage
- Any particular feature will remain available
- Results obtained from using the Services will be accurate or reliable
You use the Services at your own risk. Prism Prep is an independent study tool and is not affiliated with, endorsed by, or sponsored by any professional licensing board, examining authority, or educational institution unless explicitly stated.
12 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PRISM PREP LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, EXAM FEES, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICES.
IN NO EVENT SHALL PRISM PREP'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO PRISM PREP IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, the above limitations apply to the fullest extent permitted by law.
13 Indemnification
You agree to indemnify, defend, and hold harmless Prism Prep LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) any User Data you submit.
14 Termination
Termination by You
You may cancel your account at any time through your account settings or by contacting us. Because plans are one-time purchases rather than subscriptions, cancellation does not entitle you to a refund for a plan already purchased.
Termination by Prism Prep
We reserve the right to suspend or terminate your account and access to the Services at our sole discretion, with or without notice, for conduct that we believe: (a) violates these Terms; (b) is harmful to other users, third parties, or our business; or (c) is required by applicable law.
Effect of Termination
Upon termination, your right to use the Services will immediately cease. Sections that by their nature should survive termination — including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law — shall survive.
15 Governing Law & Dispute Resolution
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Maine, United States, without regard to its conflict-of-law principles.
Informal Resolution
Before initiating any formal legal action, you agree to contact us at legal@myprismprep.com and attempt to resolve the dispute informally for at least 30 days.
Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration under the rules of the American Arbitration Association (AAA), conducted in English. You waive any right to a jury trial or class action. You and Prism Prep agree to arbitrate disputes only on an individual basis.
Exceptions
Either party may seek injunctive or equitable relief in a court of competent jurisdiction in Maine to protect intellectual property rights or prevent irreparable harm pending arbitration.
16 Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you via email or a prominent in-app notice at least 14 days before the changes take effect. The "Last Updated" date at the top of this page reflects the most recent revision.
Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Services and cancel your account.
